■ 公募と私募の違いは常識問題
上場会社にとっては、証券取引法（今年の夏に金融商品取引法に名前が変わる）は憲法と言える。
証券取引法（金融商品取引法）とは株式（法律用語では有価証券）の取り扱いを決めた法律。
これに、違反すると絶対にIPO(上場）できない。
１００年の歴史のある東証一部の会社でも、証券市場から落とされる。
絶対に守らなければいけない法律。
ただ、この証券取引法（金融商品取引法）は、上場会社向けだけに決められているわけではない。
すべての会社が発行できる株式の取引を規制しているため、未公開会社にも当てはまるのだ。
この未公開会社が、一度でも証券取引法（金融商品取引法）に違反すれば、IPO(上場）はできない。
これで上場できない会社が意外と数が多いで、気をつけるべきだ。
監査法人や証券会社がまだ関与していない時期に、IPO(上場）支援が得意ではない会計事務所だけが顧問だったりすると起こる。
後で、証券会社に指摘されて知ったときには、もう遅い。
まず、絶対に理解しておくのが、公募と私募の違い。
過去6ヶ月間で50名以上の株主を募集すると公募になる。
過去6ヶ月間で49名未満の募集を私募と言うが、これを守れば、100人でも200人の株主がいても問題ない。
ただし、500名を超えるとやはり規制の対象になるため、最大で499人まで。
さらに、2つ注意点がある。
1．募集の意味
募集とは、投資家に「新しい株主になりませんか」と声をかけることを言う。
そのため、49名に声をかけて、3人だけ株主になったとする。
この場合、そこから半年以上は新しい株主を募集することができない。
なお、従業員持株会は1人とカウントされる。
また、同じ投資家に何度も声をかけても、お金を出しても1人とカウントされる。
2．売買行為の規制
初めに1人の株主に株式を割り当てる。
その後すぐに、その1人の株主が100人に売却する。
100人は増資に応じたのではなく、1人の株主と株式の売買契約をしただけ。
つまり、公募ではない。
しかし、これを許せば、簡単に公募の規制を逃れてしまう。
そこで、1人の株主が同一日に同一価格で株式を売買することを「売出」とした。
ここでも注意が必要だ。
あくまで、株主が勝手に50人以上に株式を転売した場合でも、発行会社に報告義務がある。
株式の譲渡制限とは関係がない。
譲渡制限がある株式でも売買することができるからだ。
公募と売出の定義は理解できたと思うが、これを未公開会社がやるだけで違反になるわけではない。
公募と売出をする前に、株式を発行している会社が財務局に有価証券届出書を提出し、EDINET（インターネットのサイト）に登録しておけば、何の問題もない。
ただ、これはIPO(上場審査）で提出するものと同じ様式で、しかも公認会計士の監査が必要になる。
提出するのは、あまり現実的ではない。
つまり、株主の数を増やすときには気をつけなくてはいけない。
有価証券届出書を提出せずに、公募または売出を行えば、IPO(上場）は絶対にできない。
でも、ここまでは、未公開会社の社長でも知っていることで、しかもいきなり未公開会社の株主が50名以上にはならないだろう。
違反する可能性は小さい。
ここからが、本当に知らない間に違反してしまう部分になる。
実は、私募でも届出が必要な場合がある。
それは、1回で1億円以上の資本金を増やす場合だ。
たった1人の投資家がお金を出す場合でも有価証券通知書の提出が必要になる。
この有価証券通知書は有価証券届出書と違って作成は簡単で、数枚で公認会計士の監査も必要ない。
必要事項を記入して財務局に提出するだけ。
でも、忘れれば、証券取引法（金融商品取引法）違反になってしまう。
さらに、注意したいことがある。
証券取引法（金融商品取引法）は、株式だけではなく、社債や組合、LLC、LLP（一部は対象外）も同じような規制をしている。
ただし、株式とは規制の対象が少し違う。
詳細な説明は他のページでもするが、例えば社債の場合には、人数だけではなく、口数も50口未満にしなければ私募にはならない。
2億円の社債を200口にして発行する。
それを1人が1口（200万円）、もう1人が99口（1億9,800万円）に投資するだけで公募になる。
必ず、何の有価証券（証券取引法第二条に箇条書きされている）を発行するのか。
それぞれに、どんな規制があるのかを確認して欲しい。
ただ、知らなかったでは済まされない。
後悔するのは自分なのだ。
